Ipso Facto Clauses

Ipso Facto means “by the fact itself,” and an ipso facto clause is a contract provision which states that the contract may be terminated if either party declares bankruptcy. In other words, the very fact that one party declares bankruptcy is supposedly enough to end the contract and terminate the benefits and obligations of both parties.

Email Exchanges Can Result in a Contract

As long as one party can demonstrate the presence of an offer, acceptance, intent, and consideration, a contract can be formed via e-mail exchange as easily as through more traditional or formal means.

The Implied Covenant of Good Faith and Fair Dealing is a legal duty imposed on all parties to a contract that requires them to act honestly and in good faith when fulfilling their respective obligations under agreement.
